1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and Vantage Residences ("we," "our," or "us"), governing your use of our apartment rental consultation and placement services in Taiwan.

By engaging our services, submitting an inquiry, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you should not use our services.

2. Definitions

For purposes of these Terms:

• "Services" refers to our apartment rental consultation, property search, and placement services in Taiwan
• "Agreement" refers to the service engagement agreement between you and Vantage Residences
• "Property" refers to any residential apartment or dwelling presented by us
• "Landlord" refers to property owners with whom we coordinate on your behalf
• "Service Fee" refers to the fees charged for our professional services

3. Eligibility

To engage our services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Provide accurate and truthful information about your requirements and circumstances
• Comply with all applicable laws and regulations of Taiwan

4. Service Description

4.1 Scope of Services

Vantage Residences provides professional apartment rental consultation and placement services, which may include:

• Initial consultation to understand your residential requirements
• Property search and presentation of suitable options
• Arrangement and coordination of property viewings
• Lease review and explanation of terms
• Negotiation support and representation (depending on service level)
• Coordination of lease execution and documentation
• Post-lease support (depending on service level selected)

4.2 Service Levels

We offer three service levels: Select Residence, Elevated Access, and Distinguished Collection. The specific services included in each level are detailed in our service agreements and on our website.

4.3 Service Limitations

Our services do not include:

• Legal advice (we can coordinate with legal advisors but do not provide legal counsel)
• Financial advice or lending services
• Property management services after lease commencement
• Guarantees of specific rental terms or property availability

5. Client Responsibilities

5.1 Information Accuracy

You agree to provide accurate, complete, and truthful information regarding your requirements, financial capacity, employment status, and any other information relevant to your rental search. Misrepresentation may result in termination of services without refund.

5.2 Documentation

You agree to provide all requested documentation in a timely manner, including but not limited to identification, proof of income, employment verification, and any other documents reasonably required for property applications.

5.3 Communication

You agree to maintain reasonable responsiveness to our communications and to notify us promptly of any changes to your requirements, timeline, or circumstances that may affect our services.

5.4 Property Viewings

You agree to treat properties and their owners with respect during viewings, to arrive punctually for scheduled appointments, and to provide timely feedback about properties viewed.

5.5 Exclusive Engagement

During the term of our engagement, you agree not to engage other rental services or directly contact landlords of properties we have presented without our knowledge and consent.

6. Fees and Payment

6.1 Service Fees

Our service fees are clearly stated in your service agreement and vary by service level selected. All fees are quoted in Taiwan Dollars (TWD) and are exclusive of any applicable taxes.

6.2 Payment Terms

Payment structure is typically as follows:

• Initial engagement fee: Payable upon signing service agreement
• Final payment: Payable upon successful lease execution

Specific payment terms will be detailed in your service agreement.

6.3 Accepted Payment Methods

We accept bank transfers and other payment methods as specified in your service agreement.

6.4 Refund Policy

Service fees are generally non-refundable once services have commenced. However, we will consider refund requests on a case-by-case basis if services cannot be provided due to circumstances within our control. Refunds, if approved, will be processed within 30 business days.

7. Property Information and Representations

7.1 Information Accuracy

While we make reasonable efforts to verify property information, we rely on information provided by landlords and cannot guarantee absolute accuracy of all details. We encourage clients to personally inspect properties and verify information important to their decision.

7.2 Property Availability

Property availability can change rapidly. We cannot guarantee that any specific property will remain available during your search process.

7.3 No Guarantees

We do not guarantee that you will find a suitable property, that any application will be accepted by a landlord, or that any specific rental terms will be achieved.

8. Limitation of Liability

8.1 Service Basis

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the services provided.

8.2 Liability Cap

To the maximum extent permitted by Taiwan law, our total liability to you for any claims arising from our services shall not exceed the total service fees you have paid to us.

8.3 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

8.4 Third-Party Actions

We are not responsible for the actions, omissions, or representations of landlords, property managers, or other third parties with whom you may interact as a result of our services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vantage Residences, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Any false or misleading information you provide

10. Termination

10.1 Termination by Client

You may terminate our services at any time by providing written notice. Fees paid are generally non-refundable, though we will consider individual circumstances.

10.2 Termination by Vantage Residences

We may terminate services immediately if:

• You breach these Terms or your service agreement
• You provide false or misleading information
• You fail to make required payments
• Your conduct is inappropriate or damages our professional relationships

10.3 Effect of Termination

Upon termination, all outstanding fees become immediately due. Provisions regarding confidentiality, indemnification, and limitation of liability survive termination.

11. Confidentiality

We will maintain the confidentiality of your personal and financial information as described in our Privacy Policy. You agree to keep confidential any proprietary information about our business operations, client lists, or other confidential matters you may learn during our engagement.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China).

12.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.

12.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good faith negotiation for a period of 30 days.

13. General Provisions

13.1 Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Vantage Residences regarding our services.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your service agreement without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Notice

All notices under these Terms shall be in writing and delivered by email to the addresses provided in your service agreement.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with a new "Last Updated" date. Material changes will be communicated to active clients via email. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.
